TERMS AND CONDITIONS FOR PURCHASE OF

THE YEAR OF AUDACITY

In consideration of being permitted to participate in TheYear Of Audacity Membership (the “Services”), and the value you will gain by participating in the Services, you hereby agree to these Terms of Purchase. These Terms of Purchase are entered into between you (hereinafter “you” or the “Client”) and FOOL FILMS LLC d/b/a PICKFORD WEST SOCIETY, a California limited liability company (hereinafter “Company”, “we” or “us”).

ACCEPTANCE OF TERMS OF PURCHASE.

The following Terms of Purchase (“Terms”) govern your use of and access to the Services. These Terms are legally binding and it is your responsibility to read them before you begin to use the Services. By using and participating in the Services, you accept and agree to be bound and abide by these Terms.

SERVICES.

Services will include the following:
Access to monthly group coaching calls, for twelve (12) months
Instant and lifetime access to membership portal with trainings and digital downloads, including any and all updates to the trainings and digital downloads

Access to Company’s pre-recorded and/or live Signature classes, not including masterminds or 1:1 programs

CLIENT RESPONSIBILITY.

As part of your participation in the Services, you are expected to complete the requisite work assigned throughout the group coaching. There is no guarantee for success as Client is responsible for completing work and following the Company’s recommendations.

TERM.

This Agreement shall be in force for a period of twelve (12) months, beginning January 1, 2025 and ending December 31, 2025. Any extension, modification or renewal of the Term must be agreed to in a writing signed by both Parties.

PAYMENT AUTHORIZATION

You hereby authorize Emily Grace and Fool Films LLC to charge your credit card according to the payment schedule outlined on your checkout page. You will be billed automatically. 12 months of consecutive membership is required.

CANCELLATION POLICY

If you cancel your participation in the Services for any reason, we will not issue any credits or refunds of the registration or coaching session fee(s), without exceptions. If you elect to pay for the Services in monthly installments and you cancel your participation in the Services for any reason, you will remain responsible for all outstanding payments to the Company for the remainder of the twelve (12) month term.

ACCESS TO MEMBERSHIP

Upon purchase you will receive a welcome email with instructions on how to set up your membership account. All of the course material will be delivered via the course website, Zoom, and email.

You have access to all bonus trainings and special events that are offered through The Year Of Audacity, provided that you are a member in good standing.

1 membership includes access to Company's Signature Programs, and all new programs launched within the twelve (12) month term (not including 1:1 offers or masterminds). Upon completion of your total payment for services, you will retain lifetime access to these programs. Should you fail to complete your total payment amount for the full twelve (12) month trm, initiate a chargeback, or otherwise attempt to cancel services, your access to these programs will be revoked until such time complete payment is rendered.

COMMUNITY GUIDELINES

The Year Of Audacity, community, q+a calls, and all course related events are committed to respect, privacy, confidentiality, anti-racism, and will not tolerate hate speech or bullying of any kind.

We reserve the right to cancel your membership immediately, revoke all access to the membrship, with no refund given, for violating any of these community guidelines.

RELEASE AUTHORIZATION    

By enrolling in the The Year Of Audacity, you hereby grant permission to Emily Grace and Fool Films LLC, the right of your image, in video or still photograph, and of the likeness and sound of your voice as recorded on audio or video tape, and any social media posts you voluntarily share inside the Year Of Audacity community site and online membership site, without payment or any other consideration. You understand that your image, audio or posts may be edited, copied, exhibited, published or distributed and waive the right to inspect or approve the finished product wherein your likeness appears.    

Additionally, you waive any rights to royalties or other compensation arising or related to the use of your image, posts or recording.    

Photographic, audio or video recordings, as well as Facebook group posts or posts inside the online membership site may be used for ANY USE which may include but is not limited to: Presentations, Courses, Online / Internet videos, Media, News or Press, Promotions or online advertising    

By enrolling in The Year Of Audacity, you understand this permission signifies that photographic, video, recordings, or audio recordings of you may be electronically displayed via the internet. You also understand that anything you post inside the The Year Of Audacity Facebook, Voxer or Telegram group may be distributed for promotional purposes on the internet by Emily Grace and Fool Films LLC.  

There is no limit on the validity of this release nor is there any geographic limitation on where these materials may be distributed.    

This release applies to photographic, audio, or video recordings collected as part of The Year Of Audacity hosted by Emily Grace, Pickford West Society, and Fool Films LLC.

You acknowledge that you have completely read and fully understand the above release and agree to be bound thereby. By purchasing The Year Of Audacity, you hereby release any and all claims against any person or organization utilizing this material for educational or promotional purposes.   

ACKNOWLEDGEMENT

Because of the position in the entertainment industry of all The Year Of Audacity owners, employees, coaches, mentors and assignees, their own ideas, Submissions, submission assignments, treatments, TV pilots, web series, books, screenwriting services, consultation services, submission editing, workshops, webinars, lectures and teaching, they are continuously exposed to Submissions, teleplays, novels, short stories, formats, treatments, outlines, pitches, loglines, presentations, stories, films, games and the like, which may be similar to those already developed by the you (the Client), or related parties, (and which may be based on underlying material owned or controlled by the Client), and often many similar ideas/stories relate to one or more common underlying themes in different projects that may already exist. Client shall indemnify and hold harmless Fool Films LLC, Emily Grace, and all The Year Of Audacity employees and contractors, from and against any and all liability, judgments, claims, costs, damages, losses and expenses (including without limitation costs and attorneys’ fees whether or not in connection with litigation) arising out of or in connection with similar creative ideas.

INTELLECTUAL PROPERTY

Unless explicitly authorized, you may not modify, copy, reproduce, republish, upload, post, transmit, rent, lease, loan, translate, sell, create derivative works of, exploit, or distribute in any manner or medium (including by email or other electronic means) any of the content, recordings, methods or other materials related to this course.

FOOL FILMS LLC DOES NOT GUARANTEE THAT YOU WILL GET ANY RESULTS OR EARN ANY MONEY USING ANY OF OUR PRODUCTS, IDEAS, TOOLS, STRATEGIES, OR RECOMMENDATIONS, AND NOTHING ON OUR WEBSITES OR IN OUR PRODUCTS IS A PROMISE OR GUARANTEE TO YOU OF FUTURE EARNINGS.

YOU EXPRESSLY AGREE THAT YOUR USE OR INABILITY TO USE ANY OF THESE PRODUCTS IS AT YOUR SOLE RISK. By purchasing ANY EMILY GRACE OR FOOL FILMS LLC PROGRAM, you accept, agree and understand that you are fully responsible for your progress and results from your participation and that we offer no representations, warranties or guarantees verbally or in writing regarding your earnings, bookings, auditions, or career growth of any kind. You alone are responsible for your actions and results personally and professionally. You also understand that any testimonials or endorsements by our customers or audience represented on our programs, websites, content, landing pages, sales pages or offerings have not been scientifically evaluated by us, and the results experienced by individuals may vary significantly.
